1. Acceptance of Terms

By accessing or using the Foli platform (the "Service") operated by Foli Inc. ("Foli," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Foli provides a software platform for managing corporate structures, legal entities, ownership records, documents, and related information for family offices and their advisors. The Service is provided on a subscription basis.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the integrity of the Service
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to store or transmit malicious code

5. Your Data

You retain all rights to the data you enter into the Service. We do not claim ownership of your entity structures, ownership records, documents, or other content. You grant us a limited license to host, store, and process your data solely to provide the Service. See our Privacy Policy for details on how we handle your data.

6. Subscription and Payment

Access to the Service requires a paid subscription. Fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees due. Prices may change with 30 days' notice. Refunds are handled per our cancellation policy.

7. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Foli and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Service does not constitute legal, tax, or financial advice.

9. Limitation of Liability

To the maximum extent permitted by law, Foli shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

10. Termination

Either party may terminate the subscription at any time. Upon termination, you may export your data within 30 days. After that period, your data will be deleted in accordance with our data retention policy.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.
